Terms of Service

1. Definitions

In these Terms of Service, the following terms have the meanings set out below:

  • Seeds Builder: The SaaS platform for creating and publishing event websites, available at seeds-builder.com and associated subdomains.
  • Seeds Analytic: The company operating Seeds Builder (legal entity: Seeds Analytic S.A.S., corporate suffix omitted from all public-facing communications).
  • The Service: All features, tools, interfaces, and content offered through Seeds Builder.
  • User: Any individual or legal entity that accesses or uses the Service, whether or not they have a registered account.
  • Account: A User’s registered profile on the Service, protected by access credentials.
  • Subscription: The recurring (monthly) paid plan a User purchases to access advanced Service features.
  • Content: Any text, images, code, data, or material that a User uploads, creates, or publishes using the Service.

2. Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms. If you are accessing on behalf of a company or organization, you represent that you have the authority to bind that entity. If you do not accept these Terms, do not use the Service.

3. License Grant

Seeds Analytic grants you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. This license does not include the right to sublicense, sell, resell, transfer, assign, or otherwise commercially exploit the Service or any part of it.

4. Account Registration and Responsibilities

To use most Service features, you must create an Account. You agree to:

  • Provide accurate, complete, and up-to-date information during registration.
  • Keep your access credentials secure and not share them with any third party.
  • Immediately notify Seeds Analytic if you suspect unauthorized access to your Account.
  • Be responsible for all activities that occur under your Account.

Seeds Analytic will not be liable for losses resulting from unauthorized access to your Account if you failed to take reasonable precautions to protect your credentials.

5. Acceptable Use

You agree to use the Service only for lawful purposes. The following are expressly prohibited:

  • Uploading, publishing, or distributing illegal, defamatory, obscene, or third-party rights-infringing content.
  • Distributing malware, viruses, malicious code, or anything that could damage the Service or other users’ systems through published sites.
  • Reselling, redistributing, or sublicensing the Service without Seeds Analytic’s written authorization.
  • Mass scraping, automated data extraction, or abuse of fair-use quotas.
  • Using the Service for spam, phishing, or unsolicited marketing.
  • Attempting to access, hack, or compromise the Service’s infrastructure.

Seeds Analytic reserves the right to suspend or terminate accounts that violate these restrictions.

6. Subscriptions and Payments

The Service offers several subscription plans. For current pricing and features for each plan, please see our pricing page. Plans may change with notice.

Payments are processed securely by Dodo Payments. Seeds Analytic does not store full credit or debit card data. Your subscription renews automatically each month until you cancel. You may cancel from the “Billing” section of your admin dashboard.

7. Term and Termination

These Terms are in effect for as long as you use the Service. Seeds Analytic may suspend or terminate your access, with or without notice, if:

  • You breach any provision of these Terms.
  • Your Account use poses a security risk or harm to the Service.
  • Seeds Analytic decides to discontinue the Service.

You may terminate your relationship with the Service by canceling your Account at any time.

8. Intellectual Property

Seeds Analytic’s property: Seeds Analytic retains all rights, title, and interest in and to the Service’s code, design, interfaces, templates, brand, logos, and any other Service materials. Nothing in these Terms transfers those rights to you.

Your property: You retain all rights in and to the Content you create and publish through the Service.

User Content License: By using the Service to host and publish your Content, you grant Seeds Analytic a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify (solely for technical purposes), and display your Content to the extent strictly necessary to provide the Service. This license ends when you delete the Content or close your Account.

9. Service Availability

Seeds Analytic strives to keep the Service continuously available but does not guarantee uninterrupted availability. The Service may have planned or unplanned interruptions for maintenance, updates, or causes beyond Seeds Analytic’s control. No guaranteed service level (SLA) is offered for current subscription plans.

10. Disclaimer of Warranties

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, and non-infringement. Seeds Analytic does not warrant that the Service will be error-free or meet all your requirements.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Seeds Analytic will not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service. Seeds Analytic’s total liability to you for any claim will not exceed the amount you paid to Seeds Analytic in the 12 months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Seeds Analytic and its directors, employees, and agents from any claims, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising from: (a) your use of the Service; (b) your Content; (c) your breach of these Terms; or (d) your infringement of any third-party rights.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Colombia. Any dispute arising out of or relating to these Terms shall be submitted to the exclusive jurisdiction of the competent courts of the city of Bogotá D.C., Colombia.

14. Changes to These Terms

Seeds Analytic may update these Terms at any time. We will notify you of material changes at least 15 days in advance, either by email or via a prominent notice within the Service. Your continued use of the Service after the revised Terms take effect constitutes your acceptance of the updated Terms.
